Cosentino USA’s business including, without limitation, computer
programs, names and expertise of employees and consultants,
processes, ideas and other technical, business, financial,
customer and product development plans, forecasts, strategies
and information which to the extent previously, presently, or
subsequently disclosed to you, the recipient (the “Receiving
Party”) of this reoccurring e-mail, typically titled “Quartz
Connection, is hereinafter referred to as “Proprietary
Information” of Cosentino USA. All Proprietary Information
contained in this e-mail is property of Cosentino USA, 13124
Trinity Drive, Stafford, Texas 77477. Questions and comments
regarding these terms and conditions or the contents of this
e-mail shall be directed to Cosentino USA, attention: Bethany

Acceptance
You have been
sent this e-mail because you are an employee of Cosentino USA
and/or one of its affiliates or you are an authorized
distributor of Cosentino USA. You do not have permission to
share this e-mail or forward this e-mail to others, including
CSIs, except as specifically set forth below. You, the
Receiving Party, are allowed to educate your CSIs and/or
employees of the information contained in this e-mail only for
the purposes of marketing Cosentino USA’s products and/or to
better the sales and goodwill of Cosentino USA’s products and
company. It is your obligation to ensure that any CSIs and/or
employees that you, the Receiving Party, with whom you share the
information contained herein, are subject to the conditions of
this Confidentiality Notice.
By accepting this e-mail, you agree
(i) to hold Cosentino USA’s Proprietary Information in
confidence and to take reasonable precautions to protect such
Proprietary Information (including, without limitation, all
precautions you, the Receiving Party employ with respect to its
confidential materials), (ii) to not divulge any such
Proprietary Information or any information derived therefrom to
any third person without express written consent of Cosentino
USA (iii) not to make any use whatsoever at any time of such
Proprietary Information except to evaluate internally whether to
enter into the currently contemplated agreement with Cosentino
USA, and (iv) not to copy or reverse engineer any such
Proprietary Information.
Limitation of Liability
Under no
circumstances shall Cosentino USA, its subsidiaries and/or
parent companies or affiliates be liable for any direct,
indirect, incidental, special or consequential damages that
result from the use of, or the inability to use Cosentino USA
materials contained on this e-mail.
Termination
This Confidentiality Notice is effective immediately upon
receipt of this e-mail until terminated by Cosentino USA, at any
time. In the event you refuse to abide by, or are found by
Cosentino USA to be in default of the foregoing terms and
conditions, Cosentino USA will immediately desist sending the
Quartz Connection to your e-mail address.
